Cooley advised Amryt Pharma, a Dublin, Ireland-based commercial-stage biopharmaceutical company, on its definitive agreement to be acquired by Chiesi Farmaceutici, a Parma, Italy-based research-focused biopharmaceuticals and healthcare group, in a $1.48 billion cash and contingent value right (CVR) transaction. Partners Bill Sorabella, Claire Keast-Butler and Bill Roegge led the joint US and UK Cooley team advising Amryt.

Cooley advised Esusu, a leading fintech platform leveraging data to empower renters and improve property performance, on its $130 million Series B led by SoftBank Vision Fund 2, which brings the company to a $1 billion valuation. This latest fundraise makes Esusu one of the few Black-owned startups to reach unicorn status both in the US and globally. DeVon Barnett, Jeff Laretto, Tanisha James and Pat O’Connell led the Cooley team advising Esusu.

Cooley advised BowX Acquisition Corp., a publicly traded special purpose acquisition company or SPAC, on its agreement to merge with WeWork for $9 billion – a combination that will result in WeWork becoming a publicly listed company. Lawyers Dave Peinsipp, Jamie Leigh, Kevin Cooper, Garth Osterman, Eric Blanchard, Richard Segal, Sangitha Palaniappa and Natasha Patel led the team advising BowX on the transaction, which is expected to close in Q3.
