Razor’s Edge Forms Three New National Security Platforms

Cooley advised Razor’s Edge, a fund focused on high-growth technology investments in the national security market, in connection with its formation of a new platform, BlackSea Technologies. BlackSea builds and delivers intelligence, surveillance and reconnaissance capabilities, as well as other mission-tailored platforms for surface, subsurface and airborne operations across the naval domain. Cooley advised Razor’s Edge and BlackSea on the acquisition of Maritime Applied Physics Corporation in Baltimore, Maryland, and other BlackSea follow-on acquisitions.

Cooley separately advised Razor’s Edge in forming its new platform, Black Signal Technologies, with the acquisition of Blue Ridge Envisioneering, a developer of signal processing and electronic warfare solutions for national security customers. Cooley represented Black Signal in its follow-on acquisition of Silver Palm Technologies, a wireless engineering company specializing in products that support radio frequency and microwave distribution, signal conditioning and signal processing. 

Cooley also advised Veros Technologies, a technology company supporting critical cybersecurity missions for national security customers, in an equity investment by Razor’s Edge, and subsequently represented Veros in its acquisition of Bonfire Technologies, an elite cyber solutions company supporting similar customers and missions.

Relatient Sells Majority Stake to Brighton Park Capital

Cooley advised Relatient on the sale of a majority stake to an investment firm Brighton Park Capital.

Relatient is the leading customer-related patient engagement vendor designed to improve the patient experience. Brighton Capital is an investment firm that specializes in software, information services, technology-enabled services, and healthcare.  Partner Andrew Lustig led the Cooley team advising Relatient.

Invotas Sells to FireEye

February 1, 2016

Cooley advised Invotas International on its sale to FireEye, enabling FireEye to strengthen its global threat management and cyber detection platform. The transaction closed on February 1, 2016.

Invotas, based in Alexandria, Virginia, is the premier provider of real-time security automation and orchestration technology. Cybersecurity firm FireEye, headquartered in Milpitas, California, is the leader in protecting organizations against advanced cyber threats, data breaches and zero-day attacks. The significance of this acquisition solidifies FireEye's ability to serve as a trusted advisor on an end-to-end scale helping customers drive down time to protection through one efficient security orchestration console.

Cooley is a leading law firm in advising cybersecurity companies on their corporate transactions. In January 2016, Cooley represented iSIGHT, a cyber threat intelligence company, on its sale to FireEye for approximately $200 million. And in 2014, Cooley advised cybersecurity firm Mandiant in its $1 billion acquisition by FireEye.

Blackbird Technologies Acquired by Raytheon for $420 Million

November 10, 2014

Cooley advised Blackbird Technologies in its acquisition by Raytheon for $420 million. Blackbird is a technology solutions provider solving challenges for customers in the defense, intelligence and law enforcement communities. Raytheon is a technology and innovation leader specializing in defense, security and civil markets throughout the world, providing state of the art electronics, mission systems integration and other capabilities.

Blackbird's acquisition by Raytheon was named an M&A deal of the year for 2014 by Washington Technology.

Cooley advised Blackbird Technologies on its $420 million acquisition by Raytheon. The transaction won the ACG "strategic deal of the year (over $250M)" award and was also recently named an "M&A deal of the year for 2014" by Washington Technology.
