Cooley advised Tectonic Therapeutic, a privately held biotechnology company developing G-protein coupled receptor-targeted therapeutic proteins, on its definitive merger agreement to combine in an all-stock transaction with AVROBIO, a gene therapy company with a purpose to free people from a lifetime of genetic disease. Tectonic also obtained $130.7 million in private financing commitments with a syndicate of new and existing leading life sciences investors in connection with the merger.

Cooley advised Lexeo Therapeutics, a clinical-stage gene therapy company advancing gene therapy candidates for genetically defined cardiovascular diseases and a genetically defined subgroup of Alzheimer’s disease, on its approximately $100 million initial public offering.

Cooley advised Immatics, a clinical-stage biopharmaceutical company active in the discovery and development of T cell-redirecting cancer immunotherapies, on its strategic collaboration with Moderna.

Cooley advised Poseida Therapeutics, a clinical-stage biopharmaceutical company, on its strategic collaboration and license agreement with Roche. Lawyers Ken Krisko, Marya Postner, Bin Wang, Hajra Nashin and Brendan Haberle led the Cooley team advising Poseida. 

Cooley advised the underwriters on Reata Pharmaceuticals' $505 million follow-on offering of 2,760,000 shares of Class A common stock, which includes the full exercise of the underwriters’ option to purchase additional shares. Citigroup, Jefferies, SVB Leerink and Stifel acted as the joint book-running managers for the offering. Cantor, Baird and Ladenburg Thalmann acted as co-managers for the offering.
