Secured an extremely favorable resolution for the former officers and directors of Occam Networks in shareholder litigation, filed in Delaware Chancery Court, arising from Calix's acquisition of Occam Networks. Following three days of trial testimony from Occam's former CEO and CFO, the case settled on extremely favorable terms for our clients.

Cooley advised SELLAS Life Sciences Group on its merger agreement with Galena Biopharma.

Cooley advised Uber on the negotiating and closing of its multi-billion dollar investment from a consortium of investors led by SoftBank, including a tender offer for secondary shares and a primary investment at Uber's prior valuation.

Cooley is advising biopharmaceutical company Medivation on its agreement to sell to Pfizer for approximately $14 billion. The transaction is expected to close in the third or fourth quarter. Prior to the announced agreement, Cooley also advised Medivation as the target of a hostile takeover bid by Sanofi.

Cooley advised BowX Acquisition Corp., a publicly traded special purpose acquisition company or SPAC, on its agreement to merge with WeWork for $9 billion – a combination that will result in WeWork becoming a publicly listed company. Lawyers Dave Peinsipp, Jamie Leigh, Kevin Cooper, Garth Osterman, Eric Blanchard, Richard Segal, Sangitha Palaniappa and Natasha Patel led the team advising BowX on the transaction, which is expected to close in Q3.
