Forty Seven Agrees to Sell to Gilead for $4.9 Billion

Cooley advised publicly traded clinical-stage immuno-oncology company Forty Seven on its agreement to sell to Gilead for $4.9 billion in all cash. Partners Jamie Leigh, Ben Beerle, Eric Jensen and John McKenna led the Cooley team advising Forty Seven on the transaction, which is expected close in Q2.
Cooley advised 1Life Healthcare, Inc. on its $281.8 million initial public offering of 20,125,000 shares of common stock, including full exercise of the underwriters’ option to purchase additional shares. 1Life Healthcare whose securities now trade on the Nasdaq Global Select Market under the symbol “ONEM,” is a membership-based primary care platform with seamless digital health and inviting in-office care, convenient to where people work, shop, live and click.
