Cooley advised Senti Biosciences, a biotechnology company, on its sale of certain assets – including its manufacturing facility and chemistry, manufacturing, and controls capabilities – to Celadon Partners.

Cooley advised Dropbox on its acquisition of FormSwift, a cloud-based service that provides individuals and businesses solutions to create, edit and save critical business forms and agreements. Dropbox is a collaboration platform transforming how people work together – from the smallest business to the largest enterprise. Lawyers Ben Beerle, Kassendra Galindo, Luke Blackett and Erin Wright led the Cooley team advising Dropbox.

Cooley advised Neurocrine Biosciences, a neuroscience-focused biopharmaceutical company, on its agreement to lease a new 535,000-square-foot space at the Aperture Del Mar campus in San Diego’s Carmel Valley, which will become the company’s corporate headquarters. David Crawford led the Cooley team advising Neurocrine. 

Cooley advised BowX Acquisition Corp., a publicly traded special purpose acquisition company or SPAC, on its agreement to merge with WeWork for $9 billion – a combination that will result in WeWork becoming a publicly listed company. Lawyers Dave Peinsipp, Jamie Leigh, Kevin Cooper, Garth Osterman, Eric Blanchard, Richard Segal, Sangitha Palaniappa and Natasha Patel led the team advising BowX on the transaction, which is expected to close in Q3.

Cooley advised Pan Pacific International Holdings, a global retailer with more than 600 stores, on its agreement to acquire Gelson's, a premier Southern California-based supermarket chain. Partner Ray LaSoya led the Cooley team advising Pan Pacific International Holdings.
