Gray Television acquires Schurz Communications

September 18, 2015

Cooley is advising Gray Television on its acquisition of Schurz Communications' TV and radio stations for approximately $442.5 million. The transaction is expected to close following receipt of regulatory and other approvals by the first quarter of 2016.

The acquisition increases Gray's television markets to 49 within 28 states and provides Gray with the top-rated and highest grossing television stations in five additional markets.

Gray Television is a television broadcast company headquartered in Atlanta, Georgia, that owns and operates television stations and leading digital assets in markets throughout the United States. Schurz Communications is a Mishawaka, Indiana-based news and information company.

"Acquiring these stations is a transformative moment in Gray's history," said Kevin Latek, senior vice president of business development at Gray. "Having the team from Cooley with such a deep knowledge of the media industry by our side led to a favorable outcome for both parties, a result we are truly grateful for."

NetScout Receives DOJ Clearance After Second Request in $2.6 Billion Acquisition

April 28, 2015

NetScout Systems received unconditional clearance from the Antitrust Division of the US Department of Justice for its proposed acquisition of the communications business of Danaher. The clearance follows the issuance of a second request by the DOJ, which occurred on December 24, 2014, and effectively extended the waiting period imposed by the Hart-Scott-Rodino Antitrust Improvements Act . As part of a negotiated timing agreement, NetScout agreed to delay close of the transaction until late May, making the DOJ's early decision to terminate its investigation without imposing any remedies a welcome development in the deal timeline.

NetScout is a market leading provider of performance analytics and operational intelligence solutions. The acquisition, which comprises Tektronix Communications, Arbor Networks and certain parts of Fluke Networks, will increase NetScout's scale and broaden its customer base among both service provider and enterprise customers, while accelerating NetScout's entry into cyber intelligence.

Cooley advised NetScout on both the acquisition and the antitrust aspects of the $2.6 billion transaction.
