Clubessential Holdings to Merge With Xplor Technologies

Boston – September 16, 2025 – Cooley advised Clubessential Holdings, a global provider of software as a service and embedded payments solutions for membership-based organizations, backed by Battery Ventures and Silver Lake, on its definitive agreement to merge with Xplor Technologies, a platform providing software and embedded payments solutions to businesses in everyday life verticals, such as childcare and education, fitness and wellbeing, field services, and personal services. The merger is expected to close by year-end, subject to regulatory approval and customary closing conditions. Until then, the two companies will continue to operate independently.

Lawyers Alfred Browne, Danielle Fortier, Nick Kenyon, Sydney Sachs, Ryan Sonberg, Sri Ravipati, Alison Kimball, Daniel Tsai, Megan Browdie and Rick Jantz led the Cooley team advising Clubessential Holdings.

The Cooley private equity team represented Battery Ventures in its initial investment in Clubessential Holdings in 2016. Following the acquisition, Cooley advised Clubessential Holdings on multiple add-on acquisitions, including Momence in 2025 and ASB taskTracker and RecDesk in 2024, as well as a strategic growth investment from Silver Lake in 2021.
