Cooley advised Valneva, a specialty vaccine company that develops, manufactures and commercializes prophylactic vaccines for infectious diseases addressing unmet medical needs, on a debt facility for up to $500 million in nondilutive financing with funds managed by Pharmakon Advisors.

Cooley advised Ireland-based Jazz Pharmaceuticals plc (Nasdaq: JAZZ) on its Rule 144A offering of $575 million of exchangeable senior notes due 2021. Jazz Pharmaceuticals plc is a specialty biopharmaceutical company focused on improving patients' lives by identifying, developing and commercializing differentiated products that address unmet medical needs.

Cooley is advising longtime client Web.com on its proposed acquisition of online marketing company Yodle for approximately $342 million. The deal is expected to close in the first quarter of 2016.

Palo Alto, Calif. – Cooley advised Guardant Health on the closing of its $100 million Series D financing, which included equity financing and a term loan facility. The round was led by OrbiMed and also included existing investors Khosla Ventures, Sequoia Capital, Lightspeed Venture Partners, Pejman Mar, Formation 8 and Heritage Group.

According to Guardant Health, the funding will help expand the technical and commercial lead of Guardant360 – the world's first comprehensive, non-invasive genomic sequencing test for cancer.
