Cooley has worked with Myovant Sciences since 2017 to develop and prosecute its owned and licensed patent portfolios and in intellectual property diligence leading up to Myovant’s acquisition by biopharmaceutical company, Sumitovant Biopharma. The total transaction value was $1.7 billion, with a total company value of $2.9 billion. Myovant aspires to redefine care for women and men through purpose-driven science, empowering medicines, and transformative advocacy.

Cooley advised Avidity Biosciences on its $100 million Series C financing round. Lawyers Josh Seidenfeld, Matt Fleming, Jeremy Gentile and Darwin Ng led the Cooley team advising the company. Avidity is pioneering antibody-oligonucleotide conjugates for the treatment of rare muscle disorders and other serious diseases. The company’s lead research program addresses myotonic dystrophy type I, a disease with no approved treatment options. 

Cooley advised Arena Pharmaceuticals, a clinical-stage company developing innovative potential therapies for the treatment of several immuno-inflammatory diseases, on its definitive agreement to sell to Pfizer for $6.7 billion. Partners Jamie Leigh, Kevin Cooper and Steve Przesmicki led the Cooley team advising Arena.

Cooley advised Singapore-headquartered Genesis MedTech International on its acquisition of the Chocolate Touch drug-coated balloon from TriReme Medical, a wholly owned subsidiary of Singapore-listed QT Vascular. The Chocolate Touch drug-coated balloon is the world's first balloon catheter that combines therapeutic agent delivery with the next generation of controlled dilation angioplasty technique for the treatment of peripheral vascular diseases. Cooley partners Lila Hope and Matthew Bartus led the team advising Genesis MedTech.

Cooley advised the underwriters on Avidity’s $289.1 million initial public offering of 16,560,000 shares of common stock, including full exercise of the underwriters’ option to purchase additional shares. Cowen, SVB Leerink, Credit Suisse and Wells Fargo acted as joint book-running managers. Avidity’s securities now trade on the Nasdaq Global Market under the symbol “RNA”.
