Cooley advised DigitalOcean Holdings (NYSE: DOCN), a simple, scalable cloud platform that democratizes cloud and artificial intelligence for digital native enterprises around the world, on its $625 million aggregate principal amount of convertible senior notes due 2030 in a private offering pursuant to Rule 144A under the Securities Act of 1933, including the exercise in full of the initial purchasers’ option to purchase up to an additional $75 million aggregate principal amount of the notes.

Cooley advised Y-mAbs Therapeutics, a commercial-stage biopharmaceutical company focused on the development and commercialization of antibody-based therapeutics for the treatment of cancer, on its definitive merger agreement with SERB Pharmaceuticals. Under the agreement, SERB will acquire Y-mAbs, including its lead commercial oncology asset, DANYELZA, in an all-cash transaction representing an equity value of approximately $412 million.

Cooley advised Tempus AI (Nasdaq: TEM), a technology company advancing precision medicine and patient care through artificial intelligence, on its offering of $650 million aggregate principal amount of 0.75% convertible senior notes due 2030 in a private placement to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended.

Cooley advised Movable Ink, an artificial intelligence-powered personalized content platform, on its definitive agreement to be acquired by STG. The transaction is expected to close in July 2025.

Cooley advised Rubrik (NYSE: RBRK), a leading cybersecurity company, on its agreement to acquire Predibase to accelerate agentic artificial intelligence adoption from pilot to production at scale.
