Cooley advised DispatchHealth, the first comprehensive in-home medical care provider in the US, on the acquisition of two leading mobile imaging companies, Dynamic Mobile Imaging and Professional Portable X-Ray. Partner Laura Medina led the teams  advising DispatchHealth.

Cooley advised Abdo Partners on its investment in EVCS’ $68.8 million Series A and debt financing. Partner Michael Platt led the Cooley team advising Abdo Partners. EVCS is an operator of electric vehicle charging stations intended to incentivize site owners to go green through the installation of these charging stations.

Cooley advised Bolder Surgical, a privately held, US-based company that provides advanced energy vessel sealing surgical devices, on its sale to Hologic, a global leader in women’s health, for $160 million. Partner Laura Medina led the Cooley team advising Bolder Surgical.

Cooley advised Outside Interactive, a developer of a forward-motion video software technology for treadmill runners, on its $150 million Series B funding round led by Sequoia Heritage, as well as a series of strategic acquisitions. Partner Laura Medina led the teams advising Outside Interactive on the transactions, which include agreements to acquire:

• Outside Television, a Portland-based provider of outdoor lifestyle TV and video programming intended for the adventure sports and outdoor lifestyle sector.

• Outside Magazine, a Santa Fe-based publisher of magazines and stories intended to inspire an active lifestyle.

• TrailBehind (dba Gaia), a Berkeley-based developer of mobile mapping and navigation applications for backcountry adventurers and professionals.

• AthleteReg, a Massachusetts-based online athletic event management and registration service, from Pioneer Registration Services.

• Peloton Magazine, a California-based publisher of a lifestyle magazine dedicated to the beauty of road cycling, from MovePress.

• Pinkbike, the mountain biking news site, as well as Pinkbike's mapping app, TrailForks, and CyclingTips, which Pinkbike acquired in 2019.

• Cairn, an Oregon-based business that sells curated outdoor goods to consumers on a subscription basis.

• Inkwell Media, a Boulder-based premier source for outdoor education and adventure.

• Roam Media, a Boulder-based creator marketing agency.

Cooley advised fintech firm InvestCloud on a recapitalization that values the company at $1 billion. New financial investors are led by Motive Partners with Clearlake Capital Group and include other InvestCloud client shareholders. Under the terms of the agreement, Motive Partners will also contribute two portfolio businesses, Finantix and Tegra118, into InvestCloud, creating a global software-as-a-service wealth solutions platform. Cooley lawyers Kassendra Galindo, Garth Osterman and Rachel Proffitt led the team advising InvestCloud.
