Tenable Agrees to Acquire Ermetic
New York – September 7, 2023 – Cooley advised Tenable, a cybersecurity and exposure management company, on its definitive agreement to acquire Ermetic, an Israel-based, fully integrated, cloud-native application protection platform company and leading provider of cloud infrastructure entitlement management, for a purchase price of $265 million, consisting of approximately $240 million in cash and $25 million in restricted stock and restricted stock units. Partners Bill Roegge and Mike Lincoln led the Cooley team advising Tenable.
Tenable intends to integrate Ermetic’s capabilities into its Tenable One Exposure Management Platform to deliver market-leading contextual risk visibility, prioritization and remediation across infrastructure and identities – both on premises and in the cloud.
Cooley previously advised Tenable on its acquisition of Bit Discovery in June 2022, $425 million debt financing in July 2021, acquisition of Indegy in July 2020 and $288 million initial public offering in August 2018.
