Event summary

Cooley’s public companies group hosted our annual SEC Reporting Skills Workshop. This event featured interactive sessions focused on drafting various Securities and Exchange Commission disclosures, identifying common pitfalls, and offering practical guidance for today’s dynamic reporting environment.

Topics included the SEC’s pay-versus-performance rule, environmental, social and governance (ESG) reporting, the recent cybersecurity reporting rule, proxy statement trends, and drafting periodic reports, management discussion and analysis (MD&A), and earnings releases.

Select sessions in the 2024 series were also hosted live in our Cooley offices for audiences to interact and ask questions in-person.

This series is designed for in-house counsel, paralegals, and members of in-house finance and compliance teams.

Session 1: Operationalizing SEC Cybersecurity Disclosure Rule – 2024

Partner David Navetta and special counsel Asa Henin provided an overview of the SEC’s cybersecurity reporting requirements that were passed in August 2023, and discussed practical implementation of the rules as the deadline for implementation comes into effect – and what this means for companies moving forward.
