Palo Alto, Calif. – Cooley advised Coverity on its $375 million acquisition by Synopsys. Coverity is the development testing leader and the trusted standard for companies that need to protect their brands and bottom lines from software failures.

In 2013, Cooley attorneys handled more than 120 M&A transactions, with an aggregate deal value of more than $12.4 billion. Cooley also had a record year for capital markets transactions, advising on 60 public offerings, including 23 IPOs, which raised an aggregate value of more than $8.4 billion. Year-to-date in 2014, Cooley has advised on 24 completed public offerings, including 13 completed IPOs.

Palo Alto, Calif. – Cooley represented NextBio, a Santa Clara, California-based leader in clinical and genomic informatics, in its acquisition by Illumina. Illumina is a leading developer, manufacturer and marketer of life science tools and integrated systems for the analysis of genetic variation and function.

"With the addition of NextBio's platform upon completion of the acquisition, Illumina will be able to offer customers enterprise level bioinformatics solutions that accelerate the discovery of new associations between the human genome and disease, and ultimately, enable the application of those discoveries within healthcare," states the Illumina company press release.

Cooley advised Volcano on its $1.2 billion sale to Royal Philips. The transaction closed in the first quarter of 2015.

Volcano is a leading, San Diego-based company focused on improving patient and economic outcomes on a global basis by developing and delivering innovative minimally invasive coronary and peripheral visualization, physiology diagnostics and therapies. Royal Philips is an Amsterdam-based diversified health and well-being company focused on improving people's lives through meaningful innovation in the areas of healthcare, consumer lifestyle and lighting.

Cooley advised CardioKinetix on its $50 million financing led by Edwards Lifesciences. CardioKinetix also entered into an agreement with Edwards Lifesciences that provides the company with the right to acquire CardioKinetix based on future regulatory milestones.

CardioKinetix is a medical device company pioneering a catheter-based treatment for heart failure.

Cooley is serving as US regulatory and UK counsel to The Vistria Group and Apollo Global Management on their $1.1 billion acquisition of Apollo Education Group. The transaction is subject to financial, operational and regulatory conditions, as well as shareholder approval. Upon completion of the transaction, Apollo Education Group will be privately held.
