Cooley advised SoundThinking, a leading public safety technology company combining transformative solutions and strategic advisory services for law enforcement and civic leadership, on its agreement to be acquired by Transom Capital Group, an operationally focused middle-market private equity firm. Upon completion of the merger, Transom will commence a tender offer to acquire all outstanding shares of SoundThinking’s common stock for a purchase price of $8.00 per share in cash, payable at closing, plus one non-transferable CVR, which entitles each holder thereof to receive up to an additional $3.00 per share in cash, payable upon achievement of certain revenue milestones. SoundThinking’s shares will no longer trade on Nasdaq, and SoundThinking will become a privately held company.

The transaction was announced publicly in this press release.

William Sorabella, Steve Tonsfeldt, John-Paul Motley, Tracy Rubin, Ryan Genkin, and Su Lian Lu led the Cooley team advising SoundThinking.

Cooley previously advised SoundThinking on several private financings, its $30 million IPO in 2017, and its 2018 follow-on offering.
