Rubrik Announces $1.15 Billion Convertible Senior Notes Offering
San Francisco – June 13, 2025 – Cooley advised Rubrik, a leading cybersecurity company, on its offering of $1.15 billion aggregate principal amount of convertible senior notes due 2030, which includes the full exercise of the initial purchasers’ option to purchase an additional $150 million principal amount of notes.
Lawyers Jon Avina, Mischi a Marca, Jason Savich, Milson Yu, Shimeng Cheng, Samara Zaifman, Winda Fung and Jayne Munger led the Cooley team advising Rubrik, with support from tax partners Eileen Marshall and Timothy Shapiro.
Cooley previously advised Rubrik on its $752 million initial public offering in April 2024.
