Cooley advised Fangdd on its $78 million initial public offering of 6,000,000 American depositary shares, each representing 25 class A ordinary shares. The underwriters have a 30-day option to purchase up to 900,000 additional shares. The transaction represents Cooley’s first completed IPO out of its newly launched Hong Kong office. Partner Will Cai led the Cooley team advising Fangdd. Founded in 2011 by former real estate agents Yi Duan and Xi Zeng, Fangdd now trades its securities on the Nasdaq Global Select Market under the symbol “DUO.”

Cooley advised the joint sponsors and underwriters on ecommerce company Huitongda’s HK$2.2 billion (US$285 million) initial public offering of 51,606,200 H shares on the Hong Kong Stock Exchange, subject to the exercise of the underwriters’ option to purchase an additional 7,740,900 H shares. Partners Michael Yu and Will Cai led the Cooley team advising the joint sponsors and underwriters.

Cooley advised GOGOX, an online intracity logistics platform in Asia focused on the transportation of freight and goods in urban areas, on its HK$675 million (US$86 million) initial public offering of 3,120,000 shares (subject to an overallotment option to issue an additional 4,680,000 shares), which now trade on the Hong Kong Stock Exchange. Partners Michael Yu and Will Cai led the Cooley team advising GOGOX, which also included Lisa Yuan, Marcus Chen, Ying Liu, Keke Wu, Jasmine Li, April Wang, Cindy Pan, Shuaiwen Wang, Jieting Zhang and Freeda Li.

Cooley advised the underwriters for Fenbi, an internet-born test preparation company, on its proposed listing of shares on the Main Board of the Stock Exchange of Hong Kong Limited. Partners Ethan Jin, Michael Yu and Will Cai led the Cooley team.
