Cooley Advised Instacart on $17 Billion Agreement to Merge with DoorDash
Cooley advised Instacart, a leading grocery technology company, on its $17 billion definitive merger agreement with DoorDash, an online delivery demand aggregator building the future of local commerce by connecting people to the best of their neighborhoods. Together, the combined company would offer grocers and retailers of every size DoorDash's delivery network and Instacart's grocery and fulfillment technology, in both apps and on stores' own websites, along with the advertising and AI tools each company has built.
The proposed transaction, under which DoorDash will acquire Instacart for a total value of $65.00 for each Instacart share, was approved unanimously by the boards of directors of both companies and is expected to close in the first half of 2028.
The transaction was announced publicly in this press release.
Jon Avina, Jamie Leigh, Kevin Cooper, Milson Yu, and Kyle Hess led the team advising Instacart.
Nyron Persaud, Tracy Rubin, Ariane Andrade, Michael Mencher, Nikki DiFederico, Julia Gage, Elaine Huang, Christopher Rebagliati, Shukra Sabnis, Talea Seyed, and Zi Ye provided invaluable support.
Cooley has advised Instacart since 2017 throughout its lifecycle, including on multiple financing matters leading up to its $660 million IPO in 2023 and on multiple acquisitions.
