San Francisco – September 15, 2026 – Cooley advised Tenable Holdings (Nasdaq: TENB), the exposure management company, on its $800 million aggregate principal amount of 0.25% convertible senior notes due 2031 in a private placement only to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended. This includes the full exercise of the initial purchasers’ option to purchase up to an additional $75 million aggregate principal amount of the notes.
