About Dillon

Dillon focuses on the executive compensation and employee benefits matters of corporate transactions. He also represents clients in the design, negotiation and implementation of equity, equity-based and cash-incentive compensation, employment, severance and change-in-control agreements, and nonqualified deferred compensation plans. 

Dillon has extensive experience managing the compensation and benefit workstreams for public and private company transactions. He also regularly advises clients on compliance with provisions of the Internal Revenue Code, including Section 280G and Section 409A. Before joining Cooley, Dillon was an associate in the executive compensation group of another global law firm.
