About Caroline

Caroline focuses on commercial litigation and commercial and international arbitration. She handles a range of complex commercial disputes across various sectors, such as post-acquisition disputes, venture capital disputes, and bankruptcy litigation matters, including representing lenders and official committees in Chapter 11 cases and complex adversary proceedings, as well as disputes concerning joint ventures and long-term cooperation agreements. Caroline also has experience in complex domestic and international arbitration disputes, including commercial, investment-treaty and mass arbitrations, as well as challenging arbitral awards in US courts under the Federal Arbitration Act. She is also active in Cooley’s pro bono practice.

Caroline also serves on the Legal Aid Society’s New Leadership Program Board.

Caroline’s representative matters include advising:

  • Biopharmaceutical and biotechnology companies in securities litigation in the US District Court for the District of New Jersey
  • A venture capital firm in arbitration and litigation brought by minority shareholders related to a corporate restructuring
  • Embed’s CEO and investors and employees in connection with an adversary proceeding in the FTX bankruptcy
  • Creditors in complex restructuring proceedings, including the restructurings of Mallinckrodt and JCPenney
  • A venture-backed seller of a food safety testing platform in Delaware Superior Court relating to a postacquisition dispute
  • A biopharmaceutical company in a licensing dispute in federal court
  • A construction company in a United Nations Commission on International Trade Law (UNCITRAL) arbitration against a foreign state for breach of contract
  • MASN (Mid-Atlantic Sports Network) in the successful vacatur of an arbitration award rendered by a committee of Major League Baseball in favor of the Washington Nationals concerning the fair market value of telecast rights, which was unanimously upheld on appeal
  • A Fortune 500 company in an International Chamber of Commerce (ICC) arbitration brought by a joint venture partner arising out of a $1 billion spinoff
  • A Fortune 500 company in an ICC arbitration in Paris involving an outsourcing contract with more than $350 million in dispute
  • A Lebanese company in an International Centre for Dispute Resolution (ICDR) arbitration related to a supply and distribution agreement
  • An Antiguan bank in an ICDR arbitration concerning a breach of contract claim
