Scancell to Acquire Neuphoria, Concurrent $89 Million Private Financing

Cooley advised Scancell, a late-stage clinical biotechnology company, on its agreement to acquire Neuphoria Therapeutics, a clinical-stage biotechnology company dedicated to developing therapies that address the complex needs of individuals affected by neuropsychiatric disorders. Upon completion of the transaction, the combined company plans to operate under the name Scancell and will apply to trade on Nasdaq under the symbol “SCLT”.

In connection with the transaction, Cooley also advised Scancell on a concurrent private financing of $89 million through a combination of equity and debt.
