Laborie Announces Agreement to Acquire the JADA System From Organon
Palo Alto – November 7, 2025 – Cooley advised Laborie Medical Technologies, a top diagnostic and therapeutic medical technology company, on its agreement with Organon to acquire the JADA System. The transaction, valued up to $465 million, is comprised of $440 million paid at closing and includes a milestone payment of up to $25 million subject to the achievement of certain 2026 revenue targets. The transaction is expected to close in Q1 of 2026, subject to closing conditions and regulatory approvals.
The Cooley team advising Laborie was led by partner Mika Reiner Mayer on intellectual property matters, with help from patent agent Lisa Amii, and partner Charity Williams on transactional matters.
Cooley has advised Laborie since 2016 and led all intellectual property diligence matters on its financings and acquisitions, including its acquisition of Urotronic in September 2023.
