Laborie Medical Technologies Agrees to Acquire Urotronic
Palo Alto – September 6, 2023 – Cooley advised Laborie Medical Technologies, a top diagnostic and therapeutic medical technology company, on patent and licensing matters relating to its definitive agreement to acquire Urotronic. Partner Mika Reiner Mayer led the Cooley team advising Laborie on patent matters, with support from patent agent Lisa Amii, while partner Kate Hillier led the Cooley team advising Laborie on licensing matters.
Under the terms of the agreement, the transaction consists of an upfront cash payment of $255 million, and up to an additional $345 million in potential commercial and reimbursement milestone payments. Because of Laborie’s existing minority investment in Urotronic, the net upfront cash payment will be $232 million, with net potential milestone payments of up to $314 million.
