Cooley Advises on MindMed’s Successful Proxy Contest
New York – June 21, 2023 – Cooley advised Mind Medicine (MindMed), a clinical-stage biopharmaceutical company developing novel product candidates to treat brain health disorders, on its successful proxy contest against FCM MM Holdings. Partners Bill Roegge, Christian Plaza and Mark Ballantyne – along with senior counsel Kenneth Guernsey – led the Cooley team advising MindMed. Partners Sarah Lightdale and Kaitland Kennelly also advised on litigation matters.
MindMed today announced that, based upon a preliminary vote assessment, shareholders have elected all six of the company’s nominees at MindMed’s annual meeting of shareholders.
This represents one of the first proxy contests to go to a shareholder vote since the Securities and Exchange Commission’s adoption of the universal proxy rules. In the proxy contest, FCM – a special purpose vehicle set up to represent nine early investors in MindMed, including its co-founder Dr. Scott Freeman – sought to replace four of the six directors on MindMed’s board.
