Washington, DC – August 20, 2019 – Eileen Marshall has joined Cooley as partner and member of the tax practice group. She arrives from Wilson Sonsini Goodrich & Rosati and will divide her time between Cooley’s Washington, DC, and Palo Alto offices.

Marshall counsels clients on all aspects of domestic and cross-border mergers, acquisitions, divestitures, restructurings, tax-free reorganizations, taxable and tax-free spinoffs, incorporations and partnership formations. Additionally, she has significant experience advising on tax issues in connection with financial transactions, including public and private equity and debt financings and restructurings.

Marshall was named to the 2018 and 2019 editions of Who's Who Legal Corporate Tax: Advisory. She is a council director of the American Bar Association Taxation Section, as well as an officer of the American Bar Association Taxation Section’s Corporate Tax Committee. She formerly served as chair of the District of Columbia Bar Association Tax Section’s Financial Products Committee and the American Bar Association Taxation Section’s Financial Transactions Committee.
Marshall is a frequent speaker on panels for the Taxation Sections of the District of Columbia Bar Association and American Bar Association, the Practising Law Institute and the TEI-SJSU High Tech Tax Institute and has also presented at the New York University Annual Institute on Federal Taxation. She graduated summa cum laude from the University of Pennsylvania and earned her JD from Yale Law School.
