Yoni advises public and private companies on debt finance and capital markets transactions, including syndicated credit facilities, convertible and high-yield bond offerings, structured financings, acquisition financings, secured and unsecured credit facilities, and cross-border lending transactions.
During law school, Yoni served as a note and comment editor for the Pepperdine Law Review, and his article “Innovation Meets Regulation: FIRRMA’s Significance, the Treasury’s Dilemma, and the New Normal for Foreign Investment in the U.S. Venture Capital Ecosystem" was published in Volume 48 of the Pepperdine Law Review.
Yoni’s representative transactions include:
- Meridian Arc HoldCo, a joint venture between Fluidstack and Next Frontier, in its $5.7 billion aggregate principal amount of 6.25% senior secured notes due 2031
- Tempus AI in $750 million aggregate principal amount of 0.75% convertible senior notes due 2030
- Snowflake in $1.15 billion aggregate principal amount of 0% convertible senior notes due 2027 and $1.15 billion aggregate principal amount of 0% convertible senior notes due 2029
- Datadog in $1.0 billion aggregate principal amount of 0% convertible senior notes due 2029
- Cytokinetics in $750 million aggregate principal amount of 1.75% convertible senior notes due 2031
- J.P. Morgan Securities in:
- Etsy’s $700 million aggregate principal amount of 1.00% convertible senior notes due 2030
- Pulmonx Corporation in its $60 million credit facility
- Milestone Pharmaceuticals in its $125 million strategic funding agreement with RTW Investments
- Gamida Cell in its $75 million 5.875% exchangeable senior notes due 2026
