About Xiaoyu
Xiaoyu has experience advising public and private companies, private equity sponsors and lenders in a range of financing transactions, including secured and unsecured credit facilities, venture debt financings, cross-border and domestic acquisition financings, fund financings and debt restructurings. Xiaoyu also maintains an active pro bono practice.
Xiaoyu is a Certified Information Privacy Professional (CIPP/US), certified by the International Association of Privacy Professionals.
Before joining Cooley, Xiaoyu worked at another international law firm and co-founded Pansophy Education Institute, an education company based in Vancouver, Canada. Xiaoyu received his JD from Columbia Law School, where he served as the development editor of The American Review of International Arbitration and interned for Judge Joseph A. Greenaway, Jr. of the US Court of Appeals for the Third Circuit. He also earned public interest honors and co-directed the Academic Coaching Center. Xiaoyu graduated with honors from Brown University, where he received the Walter J. Nelson Memorial Premium in Music and an Academic Excellence Award in Public Policy. Xiaoyu is fluent in Mandarin.

- Brookfield Asset Management in subscription and net asset value (NAV) credit facilities for various of its infrastructure and real estate investment funds*
- Sweetwater Sound, a portfolio company of Providence Equity Partners, in a $990 million senior secured term loan and revolving facility*
- Blackstone in a finance matter in connection with its acquisition of Sediver*
- Veris Residential (NYSE: VRE) in the finance aspects of its definitive merger agreement to be acquired by an investor consortium led by Affinius Capital in partnership with Vista Hill Partners, in an all-cash transaction for $19 per share of Veris’ common stock, representing an implied enterprise value of $3.4 billion*
- Forgent Power Solutions (NYSE: FPS) in an $850 million senior secured term loan and revolving facility*
- TruArc Partners in credit facilities to finance its acquisitions of multiple companies, including Schill Grounds Management*
- Barclays and KeyBank, as administrative agents, in two delayed-draw term loan facilities totaling $7.75 billion for Parker-Hannifin Corporation (NYSE: PH)*
- Florida Food Products, a portfolio company of Ardian and MidOcean Partners, in $92 million of new first-lien debt financing and a refinancing of more than $750 million of existing debt*
- SchoolStatus, a portfolio company of PSG Equity, in connection with a finance matter*
- Wells Fargo, as lead arranger, administrative agent and lender, in a $1 billion refinancing of Outfront Media Capital Corporation’s existing credit facilities*
- Oaktree Capital in subscription credit facilities for various investment funds*
- Stripes in a subscription credit facility*
- Westinghouse Electric Company in a finance matter*
- The Home Depot in finance matters relating to the acquisition by its specialty trade distribution subsidiary, SRS Distribution, of GMS*
- Cleanova, a portfolio company of Px3 Partners, in a $705 million senior secured credit facility to finance its acquisition of Micronics Engineered Filtration Group*
- Neogen Corporation (Nasdaq: NEOS) in a $700 million senior secured term loan and revolving facility*
- BMH Holdings in a financing matter*
- Ardian in finance matters relating to its acquisition of a majority stake in Masco Group*
- XPO in connection with a new $600 million revolving credit facility and a refinancing of its outstanding $1.1 billion of term B loans*
- Regis Corporation in a finance matter*
- JPMorgan Chase, as administrative agent and lender, in finance matters in connection with its credit facilities for Royal Caribbean Cruises*
