TJ Graham is the chair of Cooley's technology transactions practice group and serves on the firm's board of directors. He represents clients at all stages of their life cycles. His representations include companies' most important technology and other business transactions, with a special focus on those involving high technology devices, software, data, consumer products and digital media. He also has significant experience advising clients on intellectual property and commercial matters across a multitude of strategic mergers and acquisitions with a focus on private equity, and corporate divestitures.

  • Cornerstone OnDemand in its acquisition of Saba for $1.4 billion
  • Instructure in its sale to Thoma Bravo for $2 billion
  • C3.ai in its joint venture with Baker Hughes, a GE company
  • Trilogy Education in its sale to 2U for $750 million
  • Adaptive Insights sale to Workday for $2 billion
  • Ellie Mae’s sale to Thoma Bravo for $3.7 billion
  • LinkedIn in several transactions, including its acquisition of Lynda.com for $1.5 billion and its sale to Microsoft for $26 billion
  • Cypress Semiconductor in its acquisition of Broadcom’s IOT business for $550 million
  • Aruba Networks in its sale to HP for $4 billion
  • Acxiom’s sale of its IT infrastructure and datacenter business to Charlesbank Capital for $200 million
  • Netgear in its acquisition of wireless assets from Sierra Wireless for $140 million
  • Hybris in its >$1 billion sale to SAP
  • Riverbed Technology in its $3.4 billion going private transaction led by Thoma Bravo
  • McAfee in its $7.7 billion sale to Intel
  • Wind River in its $1 billion sale to Intel

Prior to joining the firm, TJ was a partner at Wilson, Sonsini Goodrich & Rosati. During his time at Harvard Law School, he was an editor for the Harvard Journal of Law & Technology.
