About Tessa W

Tessa’s practice focuses on complex multimillion-dollar transactions, including private equity, mergers and acquisitions, general corporate matters, divestitures and restructurings. Her practice includes analyzing material risks and liabilities, drafting and negotiating primary and ancillary transaction documents, and advising on an array of legal issues in business transactions. Tessa regularly assists public and private company clients in connection with ongoing corporate governance, internal reorganization and business integration matters.

Tessa’s experience spans industries and touches on a wide range of business matters – including technology, software as a service (SaaS), telecommunications, healthcare, manufacturing and consumer products. Her experience includes rollover equity structuring, incentive equity arrangements, complex capitalization matters and executive employment arrangements. Also, as an active member of the Denver community, Tessa advises local nonprofit entities on general governance and operational and compliance matters.

Tessa graduated from the Georgetown University Law Center, with honors, where she served as executive notes editor for the Georgetown Law Journal. During law school, Tessa participated in the honors program at the US Securities and Exchange Commission in the Division of Corporation Finance, Office of Mergers and Acquisitions. Tessa also received an undergraduate business degree at Georgetown University, graduating summa cum laude with a major in finance.

  • CallTower in its sale to BV Investment Partners
  • ChrysCapital in its acquisition of a controling stake in ProHance Analytics
