About Spencer

Spencer represents companies, private equity sponsors, infrastructure investors and strategic businesses in complex domestic and cross-border transactions across the energy, infrastructure and technology sectors. He advises clients through the full life cycle of a transaction, from structuring and diligence through negotiation, financing and closing, with a practical, commercial approach focused on helping clients achieve their business objectives.

Spencer has experience advising on mergers and acquisitions, joint ventures, project development, financings and other strategic transactions involving conventional power, renewable energy, battery storage, data centers, nuclear energy, carbon capture, electric vehicle infrastructure and other critical infrastructure assets. He regularly works on matters involving sophisticated governance arrangements, long-term commercial agreements and investments across North America.

Clients value Spencer for combining technical legal analysis with business-minded judgment. He enjoys working closely with management teams, investors and in-house counsel to solve complex problems, anticipate execution risks and move transactions efficiently from signing to closing.

Before joining Cooley, Spencer practiced at top international law firms in both New York and Toronto, where he advised clients on high-value corporate and project transactions across a broad range of related industries.

At law school, Spencer was a Virginia Leo Sirotnak Endowed Scholar and a Stewart & Lysaght Scholar. He also served as an associate editor for the Windsor Review of Legal and Social Issues and received a JW Whiteside Award. Spencer was named in the Dean’s List while studying for his Bachelor’s degree.

Outside of his practice, Spencer enjoys golf, skiing and traveling, and spends much of his free time with his wife and young daughter.
