About Ryan
Ryan focuses on M&A and other complex corporate transactions and governance matters. He has experience advising strategic and private equity clients on their most complex, high-stakes matters, including cross-border public and private M&A, spinoff transactions, joint ventures, de-SPAC transactions, growth equity investments, and offerings of debt and equity securities.
Ryan has advised clients on bet-the-company transactions across a range of industries, including tech, consumer packaged goods, retail, real estate, defense, mining, wealth management, automotive, artificial intelligence, fintech, healthcare, medical devices and pharmaceuticals.
Before joining Cooley, Ryan was an associate at another international law firm in New York City. While at Northwestern Law, he won the 2017 National Championship for Startup LawMeet. Before pursuing his law career, he was a strategy consultant at Accenture Strategy.
Ryan’s notable transactions include representing:
- Adverum Biotechnologies in its up to $350 million acquisition by Eli Lilly and Company
- Y-mAbs Therapeutics in its $412 million acquisition by SERB Pharmaceuticals
- Just Eat Takeaway.com in its $7.3 billion acquisition of Grubhub and its initial listing on Nasdaq*
- Peugeot in its $50 billion merger with Fiat Chrysler to form Stellantis*
- Iris Financial, a Euronext Amsterdam‑listed special purpose acquisition company (SPAC) sponsored by Ripplewood Holdings, in its combination with Younited to form a new consumer credit business*
- International Business Machines (IBM) in its $4 billion aggregate registered notes offering*
- OMERS Private Equity in its acquisition of a majority stake in Knight Commercial*
- Amentum in its Reverse Morris Trust merger with Jacobs’ Critical Mission Solutions and Cyber & Intelligence businesses, creating a combined organization with $13 billion in revenue*
- Neuberger Berman in its significant investment in Mariner*
- The underwriters in connection with an equity offering for Callaway Golf*
