Rubin Waranch advises clients on antitrust law and competition considerations including antitrust litigation, compliance with the Hart-Scott-Rodino Act and mergers and acquisitions. Rubin has experience in matters before the US Department of Justice and Federal Trade Commission and navigates clients across industries, including biotechnology, financial technology, healthcare, medical devices, pharmaceuticals, software, spirits and TV broadcasting.

Representative matters:

  • Exor – Represented Exor in its agreement to invest $200 million in Via Transportation’s Series E preferred stock financing round.
  • Finicity– Represented Finicity, a leading provider of real-time access to financial data and insights, in its $985 million sale to Mastercard, achieving unconditional clearance from DOJ.
  • Forty Seven – Represented Forty Seven in its sale to Gilead for $4.9 billion, strengthening Gilead’s immuno-oncology research and development portfolio.
  • Intersect ENT – Represented Intersect ENT, a supplier of drug-eluting stents, in its $1.1 billion sale to Medtronic, achieving unanimous clearance from the FTC after nine-month investigation and divestiture of its ear, nose and throat (ENT) navigation and balloon sinuplasty businesses.
  • Meredith– Represented Meredith in the $2.8 billion sale of its Local Media Group to Gray Television, Inc., with the divestiture of a television station in Flint, Michigan, accomplished through a "fix-it-first" without a consent decree, and in the $2.7 billion sales of its National Media Group to IAC's Dotdash
  • Sazerac Corporation – Represented Sazerac in acquisitions of brands from Constellation Brands (Paul Masson Grande Amber Brandy) and Brown-Forman (Early Times and Canadian Mist)
  • Synthorx – Represented Synthorx in its $2.5 billion sale to Sanofi, supplementing Sanofi’s pipeline in oncology and immuno-oncology.
  • Tableau– Represented Tabelau in its $15.7 billion acquisition by Salesforce, combining the world’s #1 CRM and #1 analytics platform.
  • Thrasio– Represented Tableau in its more than $1 billion Series D financing round.
  • Zoll – Represented Zoll, a manufacturer of medical devices, in its acquisitions of Itamar Medical, combining the firms' diagnostic and therapeutic devices for sleep apnea, and Cardiac Science Corporation, combining the two firms of automated external defibrillators (AEDs), facilitating the placement of lifesaving technology into the hands of more lay rescuers and first responders during medical emergencies.

Rubin is also an active member of the American Bar Association’s Section of Antitrust Law, serving as a  “Young Lawyer Representative” supporting the Antitrust Section’s Federal Civil Enforcement Committee and M&A Committee.
