Nicolas H.R. Dumont

Nicolas is a member of Cooley’s public companies, capital markets and artificial intelligence groups, as well as a leader of the firm’s alternative data group. He has represented clients in North America, Asia and Europe.

Nicolas’ transactional practice centers on advising corporate and investment banking clients in public and private corporate finance transactions. His experience encompasses initial public offerings (IPOs), special purpose acquisition companies (SPACs), common and preferred stock issuances, at-the-market offerings, private placements and rights offerings, senior, subordinated and convertible debt offerings (including nondollar-denominated debt), securities issued by banks, hybrid and derivative instruments, private investment in public equity (PIPE) offerings, tender offers, consent solicitations and exchange offers.  He has advised in a wide array of industries, including tech, life sciences, crypto, banking, shipping, natural resources and insurance.

Nicolas’ alt data work lies at the intersection of capital markets regulation and evolving machine learning and artificial intelligence technologies and techniques. In close collaboration with Cooley’s cyber/data/privacy and litigation practices, his current focus is on data monetization and controls, public company reporting – including natural language processing – where applicable, alt data disclosure and reporting, algorithmic trading, and related governance and corporate systemic risk topics. In addition, Nicolas regularly advises clients on general corporate matters, corporate governance and public company reporting, Financial Industry Regulatory Authority (FINRA) regulation and compliance, and stock exchange rules. He also counsels on securities law issues related to digital currencies and blockchain technology.
