Miguel J. Vega

Miguel J. Vega is the head of the Boston business & finance group and a member of the mergers and acquisitions group. His practice focuses on the representation of private and public companies in mergers and acquisitions, joint ventures, divestitures and financing transactions. He also advises public companies on SEC compliance, stockholder activism and corporate governance. 

Representative Client Work:

• More than 25 public offerings of equity and/or debt, on both the company and underwriter side
• In excess of 200 venture capital financings and 150 M&A transactions 
• Represented Frontline Education, a leading provider of administration software purpose-built for K-12 educators, on its agreed upon sale by Thoma Bravo to Roper Technologies in an all-cash transaction that values Frontline at approximately $3.725 billion
• Represented a public company in its $2.6 billion acquisition of a division from a multinational corporation in a "Reverse Morris Trust" transaction
• Represented a public company in a sale to a multinational buyer in a dual track cash tender offer and one-step cash merger for $1.3 billion in cash plus contingent value rights with a face value of $275 million
• Represented a leading global chemical company in the $1 billion acquisition of a developer of seed-applied biological products
• Represented the management team of a public company in connection with a $2.9 billion sale to a network technology leader
• Represented a public company in the $240 million acquisition of a competitor owned by private equity investors
• Represented a Canadian software company in a sale to a multinational corporation for $310 million
• Represented a venture-backed company in its sale to a public company for $430 million
• Represented a S&P 500 company in a 144A offering of $850 million of zero coupon bonds
