About Matthew

Matt advises venture capital, private equity and other investment firms on all aspects of their businesses, including forming investment funds and accounts, general partner-led transactions, fund regulatory and compliance matters, complex business transactions, and firm ownership and operational issues. He spends most of his time partnering with investment firms that are raising new funds – advising on market trends and fundraising strategies, designing optimized fund legal documents, collaborating with prospective investors to resolve their comments and questions, and ensuring that the fundraise process is run efficiently by leveraging technology and automation. During the past five years alone, Matt has represented investment firms on the formation and fundraising of venture capital, private equity and other funds and accounts, with total capital commitments exceeding $60 billion.

Matt has been recognized as a Rising Star in business and corporate law by Massachusetts Super Lawyers from 2016 – 2022, and he was highlighted on Best Lawyers' Ones to Watch list from 2021 – 2023. Matt represents a number of top and established venture capital and private equity firms, as well as emerging fund managers in their journeys to become the market leaders of the future.

Before joining Cooley, Matt was a partner in the investment funds group at Kirkland & Ellis, where he was a leader of their venture capital funds practice.
