About Matthew

Matthew Hemington has substantial experience in representing emerging growth companies, venture capitalists, corporate investors and public companies. He has advised emerging technology companies in matters ranging from startup incorporation and counseling to day-to-day representation of public companies. He has assisted his clients with obtaining financing, technology and licensing matters, public offerings, M&A, strategic relationships and executive compensation matters. 

Representative Matters

  • One Medical, a human-centered and technology-powered primary care organization, on its agreement to acquire Iora Health in an all-stock transaction valued at approximately $2.1 billion
  • Instructure, a Thoma Bravo-owned education technology company, on its agreement to sell Bridge, an employee learning, performance and skills development platform, to Learning Technologies Group
  • 1Life Healthcare, Inc. on its $281.8 million initial public offering of 20,125,000 shares of common stock
  • Morgan Stanley Ventures for two decades in well over fifty private-equity transactions 
  • Intersect ENT, Inc. for over a decade from formation, through several private placements, initial public offering, secondary offering and day to day public company compliance

Since 2010, Matthew has been recognized in the Best Lawyers in America for Venture Capital Law, Securities/Capital Markets Law and Corporate Law.

Prior to attending law school, Matt was a staff accountant in the San Francisco tax department of Arthur Andersen & Co.
