About Luke
Luke represents public and private companies in their strategic transactions, including transactions in Europe and Asia. His clients include companies of all sizes, large serial acquirers and private equity funds. Luke’s practice focuses on mergers & acquisitions, asset sales and purchases, deSPACs, securities matters, cross-border transactions, leveraged buyouts, corporate finance, joint ventures and other complex business transactions. He also has experience advising clients on corporate governance matters.
Luke’s recent representative M&A transactions include:
- Dropbox’s acquisitions of DocSend and King Street Labs (doing business as FormSwift)
- ONE Finance’s sale to Hazel (a joint venture between Walmart and Ribbit Capital)
- Uber’s acquisition of Drizly for $1.1 billion
- Byju’s acquisitions of Epic, for $500 million, and Tynker
- Neogene’s sale to AstraZeneca for $320 million
- Flexion’s sale to Pacira
- HBT Labs’ sale to American Regent
- Blockdaemon’s acquisition of Sepior
- Travelator’s (dba TravelBank) agreement to sell to U.S. Bank
- Gatsby’s sale to Netlify
In addition to his M&A practice, Luke maintains an active pro bono practice representing nonprofits and public benefit companies and individuals, including Boys & Girls Clubs in the Bay Area and the rest of California, the Melanoma Research Foundation and others.
Luke’s recent pro bono matters include representing:
- The Melanoma Research Foundation in its acquisition of the Sun Protection Foundation
- The Boys & Girls Clubs of the Peninsula in a merger with the Mid-Peninsula Boys & Girls Club
- The Boys & Girls Clubs of the Peninsula in the acquisition of certain assets and operations from the Boys & Girls Clubs of North San Mateo County
Before joining Cooley, Luke was an associate with Kirkland & Ellis in San Francisco.
