Lindsey advises public and private companies on complex domestic and cross-border mergers and acquisitions, with deep experience across the life sciences, technology and healthcare sectors. She represents strategic acquirers, financial sponsors and venture-backed companies in their most significant transactions, including growth-driven acquisitions, joint ventures, carve outs, option-to-acquire structures and milestone-based exits.
In the life sciences sector, Lindsey regularly counsels biotechnology, pharmaceutical, digital health and diagnostics companies on strategic exits, carve outs and option-to-acquire transactions. Her experience includes representing Horizon Therapeutics in its $28 billion sale to Amgen, as well as advising clients such as Jazz Pharmaceuticals and Travere Therapeutics on high-stakes M&A transactions.
Lindsey’s representative matters include advising:
- RAPT Therapeutics (Nasdaq: RAPT) in its announced acquisition by GSK in a transaction valued at $2.2 billion
- Capstan Therapeutics, a clinical-stage biotechnology company developing in vivo CAR-T therapies, in its acquisition by AbbVie in a transaction valued at up to $2.1 billion
- EsoBiotec, a biotechnology company focused on in vivo cell-therapy technologies, in its acquisition by AstraZeneca in a transaction valued at up to $1 billion
- Inmagene Biopharmaceuticals (Nasdaq: IMA) in its merger with Ikena Oncology, a public biotechnology company, resulting in a Nasdaq-listed combined company focused on immunology and inflammation
- Amolyt Pharma, a clinical-stage biotechnology company developing novel treatments for rare endocrine diseases, in its acquisition by AstraZeneca in a transaction valued at up to $1.05 billion
- Heliogen in its sale to Zeo Energy, a residential solar and energy efficiency platform
Lindsey also brings significant experience guiding growth companies through complex corporate governance matters, public company readiness and acquisition-driven strategic planning.
