Katerina Sheerin
About Katerina
Katerina advises private fund sponsors on the full life cycle of private investment fund formation and fundraising – from initial structuring and partnership documentation through limited partner negotiations, ongoing governance, co-investment structures and general partner-led continuation vehicles. She brings a distinctive combination of top-tier law firm training and more than seven years of in-house experience at a leading private equity and private credit platform, giving her a direct understanding of the sponsor-side perspective and an approach to legal work that is as practical and business-minded as it is technically rigorous.
Before joining Cooley, Katerina served as vice president and fund counsel at a leading private equity and private credit platform, where she functioned as a senior legal advisor across multiple flagship and successor private equity funds, private debt and credit funds, and a range of co-investment and continuation vehicles. Her in-house tenure gave her firsthand experience with the commercial, operational and governance demands that private fund sponsors navigate throughout a fund’s life cycle – a perspective informing every dimension of her practice at Cooley.
Before her in-house role, Katerina was an associate in the investment funds group of another US-based international law firm.
Katerina lives north of Boston with her husband, two children and their dog. Outside of work, when she is not hiking the trails of the surrounding Massachusetts state forests, she can be found on the ski slopes in winter or working on her golf game.
