About Joyce

Joyce Wang's practice focuses on the structuring, formation and ongoing representation of private investment funds in the venture capital and private equity space.  Joyce advises global and Asian fund sponsors on first-time fundraises, GP-led secondaries, fund restructuring and fund financing, with a specialty in providing tailor-made transaction solutions.  Joyce regularly advises fund managers on their upper-tier arrangements, performance incentive plans, governance matters and investment advisory businesses.  Joyce also has significant experience representing institutional investors’ global investments in private funds.  She counsels sovereign wealth funds, funds of funds, corporate venture funds, endowment funds and family offices in connection with their private fund commitments, co-investments, co-GP arrangements, strategic joint ventures, secondary transactions, and various asset management-related matters.  Joyce is a frequent speaker at industry conferences and seminars. 

Prior to joining Cooley, Joyce was an M&A lawyer at a prominent Wall Street law firm, where she represented sponsors of private equity funds.  She also has experience in leveraged financing, capital markets and general corporate matters.  Joyce’s legal training, transactional background and cross-border experience gained through practicing in New York, Shanghai and Hong Kong allow her to bring a unique perspective to clients when advising their complex, multi-jurisdictional fund-related transactions. 

Joyce is admitted to practice in New York. She has also passed the national bar examination in China.
