Jaclyn is a trusted advisor to the next generation of fund managers shaping the future of private markets. A partner in Cooley’s top-ranked fund formation practice, she guides venture capital and private equity firms through every stage of building and scaling investment platforms, offering not just legal insight but also a strategic perspective grounded in deep market intelligence. She has led the formation of private investment funds representing tens of billions of dollars in committed capital across a range of strategies, including venture, growth, buyout, middle-market and co-investment funds. Jaclyn is known for her sharp instincts, collaborative style and ability to translate complex issues into practical, business-minded solutions.

With nearly two decades of experience in private funds, Jaclyn brings a rare combination of legal, regulatory and operational acumen. Her work spans sector-specific vehicles in tech, healthcare, consumer, energy and beyond. Jaclyn regularly advises general partners on fund structuring, internal governance, succession planning and team economics while also navigating negotiations with investors and addressing ongoing compliance, investor relations and regulatory matters. She also represents institutional investors, senior investment professionals and market-leading placement agents.

Before joining Cooley, Jaclyn was a partner at a global law firm and served as chief compliance officer at a multibillion-dollar venture capital fund.
