About Gregg

Gregg advises public and private companies on complex tax planning in domestic and cross-border transactions, including M&A, joint ventures, restructurings and financing arrangements. Before joining Cooley, Gregg worked as tax associate at a global law firm and also served as a law clerk to Vice Chancellor Lori Will of the Delaware Court of Chancery.

  • Represented Pinnacle Financial Partners in its $8.6 billion merger with Synovus Financial*
  • Represented the special committee of EchoStar in EchoStar’s $6 billion acquisition of DISH Network*
  • Represented Lundin Mining in its $4.5 billion acquisition of Filo Mining*
  • Represented Gildan Activewear in its $4.4 billion acquisition of Hanesbrands*
  • Represented FirstBank Holdings in its $4.2 billion acquisition by PNC Financial Services Group*
  • Represented SoftBank Group in its $4 billion acquisition of DigitalBridge Group*
  • Represented Baxter International in the $3.8 billion divestiture of its kidney-care business (Vantive) to The Carlyle Group*
  • Represented X.AI Holdings in its $20 billion Series E capital raise and GPU infrastructure equipment and facility leasing transactions valued at more than $10 billion*
  • Represented Tishman Speyer in connection with its $3.5 billion refinancing of the Rockefeller Center*
