Frank’s practice focuses on the representation of domestic and international private investment funds, including venture capital funds, private equity funds, fund of funds, secondary funds and other asset managers in connection with their formation, operation and investment activities.
Frank primarily represents sponsor organizations, ranging from well-known multibillion-dollar firms to newly emerging managers. As fund counsel, Frank regularly advises his clients on all aspects of the fundraising process – including marketing strategies, governing agreement terms and conditions, and investor negotiations and relations – as well as all phases of design and ongoing operations of the general partner and management company enterprises, investment personnel matters and regulatory compliance matters. His practice also includes the representation of institutional investors with respect to their direct or secondary investments in venture capital, growth equity and private equity funds.
Before joining Cooley, Frank was a principal in the fund formation group at a Boston-based law firm
