About David

David Wilson advises on a broad spectrum of UK and cross-border tax matters, including public and private mergers, acquisitions, spin-offs and reorganisations. 

David has extensive experience with corporate finance transactions, including issuances of debt, equity and hybrid instruments into US, UK and other capital markets.  He has a particular interest in tax aspects of insurance and in the insurance of tax risk, and is closely following international developments in the taxation of the digital economy.

Before joining Cooley, David practised at Linklaters for 12 years and at Davis Polk for 6 years.

Notable experience includes advising on:

  • Numerous IPOs into UK and US markets, including One Savings Bank plc, Direct Line Group plc, Citizens Financial Group Inc and Oxford Immunotec plc (the latter being the first IPO of a UK company into the US with shares trading directly though DTC)
  • A.P. Møller-Mærsk’s $7.45 billion disposal of Mærsk Oil to Total
  • Natura Cosméticos’ $1 billion acquisition of The Body Shop from L’Oréal
  • MasterCard’s £700m acquisition of 92.4% of VocaLink
  • The spin-off of proprietary trading desks by Barclays, Credit Suisse and Citi
  • Issuances of regulatory capital, senior debt and structured notes by RBS and Lloyds
  • Bond issuances by groups including Rolls Royce, BMW, Aon and Tencent
  • RBS’s €71 billion consortium takeover of ABN AMRO and subsequent integration work, its £12 billion rights issue, £15 billion open offer and £25.5 billion share issue to H.M. Treasury, its terms of accession to the UK Government’s £282 billion Asset Protection Scheme and various aspects of its subsequent asset disposal program, including its disposal of WorldPay.
