About Courtney

Courtney is a founding partner of Cooley’s Chicago office, where she advises her clients in equity, debt and other capital markets transactions, as well as corporate governance and securities law matters. She is a trusted adviser to public and private companies across a range of industries, with an emphasis on the technology and life sciences sectors. She also represents top investment banks.

Courtney’s extensive capital markets experience includes representing issuers and underwriters in initial public offerings, secondary equity offerings, high-yield, investment-grade and convertible debt offerings, tender offers, and other capital markets transactions. She also advises public companies on securities and corporate law matters, including Securities and Exchange Commission compliance, Exchange Act periodic reports, disclosure issues, Sarbanes-Oxley Act compliance, corporate governance matters, stock exchange requirements, proxy statement planning and preparation, Rule 144 issues, and Section 13 and Section 16 reporting obligations.
