About Aaron
Aaron’s practice focuses on mergers and acquisitions, private equity and other complex corporate transactions. He represents strategic and financial buyers and sellers in public and private acquisitions, as well as venture capital and growth equity financings. He is highly regarded as a dealmaker and strategic advisor to companies within two of the most innovative and rapidly evolving industries – technology and media – with a particular emphasis in cybersecurity, artificial intelligence, remote sensors and autonomous systems, electronic warfare, quantum, satellite/space tech, edge, photonics, software as a service (SaaS) and communications.
Aaron also brings a dedicated focus on defense technology. He frequently works with investors, government contractors and dual-use technology companies, helping them navigate the dealmaking landscape and the unique regulatory considerations required to successfully complete transactions in the space.
Aaron has been actively involved in buy- and sell-side M&A transactions ranging in size from less than $1 million to more than $7 billion and often represents companies in repeat engagements.
Aaron’s representative matters include advising:
- SciTec in its sale to Firefly Aerospace (NASDAQ: FLY) for $855 million
- Battery Ventures in its acquisition of GrammaTech’s software products division
- Fontainebleau Aviation in its partnership agreement with Skyservice Business Aviation
- Kudu Dynamics in its sale to Leidos (NYSE: LDOS) for $300 million
- Parry Labs in its investments from True Ventures, Capitol Meridian Partners, Teamworthy Ventures and 3Wire Partners
- Vana Solutions in its sale to VTG, a portfolio company of A&M Capital Partners
- Verus Technology Group in its sale to BlueHalo, an Arlington Capital Partners portfolio company
- Meredith Corporation (now People Inc.) in its acquisition of Time for $2.85 billion and subsequent sales of various media brands (including Fortune, Time, Sports Illustrated and Travel + Leisure), the spinoff of its print and digital publishing business, $2.7 billion sale to Dotdash and simultaneous sale of Meredith’s Local Media Group to Gray Television for $2.825 billion
- Razor’s Edge in connection with the formation of multiple platform acquisitions, including Black Sea Technologies, BlackSignal (ultimately sold to Parsons) and Veros Technologies, as well as multiple add-on acquisitions for each platform
- Dovel Technologies in multiple add-on acquisitions and sales to Macquarie Capital and then to Guidehouse
- Luna Innovations (PINX: LUNA) in its investment from White Hat Capital Partners, acquisitions of Silixa, OptaSense, NKT Photonics’ LIOS sensing business and Advanced Photonix, and divestitures of its Luna Labs and Picometrix divisions
- MAG Aerospace in multiple acquisitions and ultimate sale to New Mountain Capital
- BroadSoft in multiple acquisitions and ultimate public company sale to Cisco Systems for $1.9 billion
- Blackbird Technologies in its sale to Raytheon for $420 million
- Thresher Ventures in its sale to Two Six Technologies
