New York – October 24, 2016 – Cooley is advising longtime client Everyday Health on its definitive agreement to sell to j2 Global’s digital media division, Ziff Davis, for approximately $465 million.
Everyday Health is a leading provider of digital health marketing and communications solutions. Ziff Davis, a subsidiary of j2 Global, is a global digital media company operating in the technology, gaming, entertainment and lifestyle verticals. j2 Global provides business cloud and digital media services.
“This agreement with Ziff Davis represents a pivotal moment in the evolution of Everyday Health, adeptly positioning us to reach the next phase of growth,” said Ben Wolin, co-founder and CEO of Everyday Health. “Cooley’s thoughtful counsel and dedication to ensuring success was instrumental in helping us reach this game-changing moment. We couldn’t have done it without them.”
“It’s been an incredible journey working with Everyday Health over the years as the company has evolved and grown,” said Cooley New York-based corporate partner Bo Yaghmaie. “Everyday Health perfectly demonstrates the classic Cooley story in which we uniquely advise companies from their earliest stages through transformational milestones like this.”
Yaghmaie has served as counsel to Everyday Health for over a decade, advising the company on multiple rounds of VC financings and its IPO in April 2014. New York-based partner Ron Hopkinson led the cross-office, cross-practice Cooley M&A team on this transaction.
Cooley has completed more than 1,000 M&A transactions with an aggregate value of $290+ billion since 2010. In May 2016, Cooley strengthened its M&A and private equity capabilities with the arrival of Hopkinson from Cadwalader in New York, Eric Schwartzman from Weil Gotshal in Palo Alto and Stephen Rosen from Olswang in London.
