Cooley advised LegalZoom.com, Inc. on its initial public offering of 21,989,150 shares of common stock, which includes the full exercise of the underwriters’ option to purchase additional shares, at a public offering price of $28.00 per share, and the concurrent sale of 3,214,285 additional shares of common stock in a private placement at the public offering price of $28.00 per share – for aggregate gross proceeds totaling $705.7 million. LegalZoom.com, whose securities now trade on the Nasdaq Global Select Market under the symbol “LZ,” is a leading online platform for legal and compliance solutions in the United States.
